By accessing or using this website (the “Site”) operated by [LEGAL ENTITY NAME — 待补全](“Bricopia”) and its affiliates (meaning any entity that directly or indirectly controls, is controlled by, or is under common control with it) (collectively, “Bricopia”, “we”, “us”, or “our”), you confirm your agreement to comply with these Terms and Conditions (the “Terms”). These Terms form a binding contract between you and Bricopia and govern your use of any images, text, illustrations, designs, icons, photographs, programs, trading systems and methods, video clips, graphics, interfaces, data, tools, products, services, tokens, or other content available on or through this Site (collectively, the “Content”), including the manner in which such Content is organized and presented.

Bricopia operates a Biological Asset-Backed Security (“BABS”) framework that records, verifies, and tokenizes biological assets — including Cord Blood Units (“CBU”) of cord blood stem cells — into on-chain representations, namely BRIC (biological cell units) and BRICO (blockchain tokens). References on the Site to BRICO, BRICO Coin, or any token are for descriptive purposes only and do not constitute an offer, solicitation, or recommendation of any kind.

Except for the express statements and rules set out in these Terms, you acknowledge and agree that you have not relied upon any other statement or agreement — whether written or oral — regarding your access to or use of the Site or Content. By using the Site in any way, you signify that you have read, understand, and agree to be bound by these Terms in their entirety. If you do not agree, you are not authorized to access or use the Site, and these Terms will remain in effect while you use the Site.

Scope of Use

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Site, on condition that you comply with these Terms in full, along with any additional guidelines, policies, or provisions governing any segment of the Site. At our sole discretion, and at any time, we may suspend, restrict, or withdraw your permission to use all or part of the Site.

Modification of Terms

We reserve the right to modify or discontinue any aspect of the Site (including these Terms) at any time without prior notice. You are responsible for reviewing these Terms regularly. Continuing to use the Site after any modifications have been posted indicates your acceptance of those changes.

Eligibility

You warrant that:

• You have the legal capacity to enter into these Terms, and (if you act on behalf of a company or other legal entity) you have full right, power, and authority to bind such entity.
• You will not use the Site in any manner contrary to the purpose or effect of these Terms, and your use will comply with all applicable laws and regulations and will not conduct, promote, or facilitate any illegal activity.
• All information you provide is true, accurate, and not misleading, and you will keep it current.
• You are not (i) located in, ordinarily resident in, organized under the laws of, or a citizen of any jurisdiction subject to comprehensive embargoes or similar restrictions; (ii) subject to any sanctions administered by any government or the United Nations; or (iii) owned or controlled, directly or indirectly, by any sanctioned person; and you have not and will not transact with or for the benefit of any such person.

Due to local laws and regulations, you must not access or use the Site if you are located in, ordinarily resident in, established in, or a citizen of any country or region where such activities would be contrary to law or regulation. We do not provide services to users from jurisdictions where the offering or use of the Site, the BABS framework, or any token would be unlawful or require licensing or registration we do not hold (collectively, the

“Prohibited Countries”). We reserve the right to adjust the list of Prohibited Countries in accordance with changes in applicable laws, regulations, or our services. As a result, if you do not meet these eligibility requirements, please do not access or use the Site.

If you travel to a location included on our list of Prohibited Countries, the Site may not be available and your use of the Site may be blocked. You must not attempt in any way to circumvent any such restriction, including by use of VPN software or any other virtual private or anonymization network to modify your internet protocol address.

Nature of BRIC, BRICO and the Biological Assets

You acknowledge and understand that BRIC and BRICO are utility records within the Bricopia BABS framework that reference underlying biological assets (such as CBUs) recorded on a private blockchain registry. Bricopia does not represent that any token is a deposit, e-money, security, share, bond, fund interest, or other regulated financial instrument in any jurisdiction, and nothing on the Site should be interpreted as such a representation.

You further acknowledge that: (i) the existence, valuation, custody, and lifecycle status of any underlying biological asset are recorded by Bricopia and its processing, storage, and laboratory partners and are subject to the limitations described in these Terms; (ii) any stated ratio (for example, 1 CBU = 500 BRIC = 50,000 BRICO for BLA cord blood, or 1 CBU = 100 BRIC = 10,000 BRICO for non-BLA cord blood, or any reference price such as 1 BRICO = 1 USD in a primary market context) is descriptive, may change, and is not a guarantee of value, redeemability, or liquidity; and (iii) Bricopia does not guarantee that any token can be sold, transferred, redeemed, or exchanged for the underlying asset, fiat currency, or any other value at any particular time or at all.

Verification Requirement

You may be required to submit certain identification materials or other supporting documents for due diligence, identity verification, or other purposes deemed necessary by Bricopia. You represent that all information provided is accurate, complete, and current, and agree to update such information promptly if it changes. To support anti-money laundering and counter-terrorist financing compliance, use of the Site may require mandatory KYC verification. We may implement both on-chain and off-chain AML screening (including screening wallet/on-chain addresses against sanctions and AML databases) and may do so on an ongoing basis.

To satisfy verification requirements, we or our third-party verification providers may collect and record identification data and, where applicable, biometric information, as well as information about your country/region and connected persons (for example, authorized representatives and beneficial owners, where you act for an entity).

You agree that we may request, and you will provide, information and documents required by applicable laws or lawful orders to verify the legality of the source and use of funds, and that we may monitor activity for consistency with our knowledge of you, your business, and your risk profile. We do not open or maintain anonymous or pseudonymous relationships and may decline, suspend, or terminate access where we have reasonable grounds to suspect illicit activity or where information is incomplete, inaccurate, or not kept current.

Site Security

You may not violate or attempt to breach the Site’s security. Any action that tampers with the Site, involves false or misleading information, impersonates others, or conducts fraudulent activities (whether directly or via agents) is strictly prohibited. Examples include, but are not limited to:

• Gaining unauthorized access to accounts or data not intended for your use.
• Interfering with network integrity through viruses, “mailbombing,” or other disruptive methods.
• Attempting to disable or circumvent security features or authentication processes.
• Probing, scanning, or testing the vulnerability of any system or network, or breaching or circumventing security or authentication measures.

• Reverse engineering, decompiling, disassembling, or decoding any part of the Site, or bypassing measures that prevent or limit access.
• Causing the Site or any underlying technologies or related functionality to work other than as intended.
• Circumventing access restrictions, rate limits, or geo-blocking (including via VPN or other anonymization networks).
• Jeopardizing the security of any connected wallet (if the Site supports wallet connection).

We may investigate suspected violations and cooperate with law enforcement if criminal activity is implicated. We reserve the right — without prior notice — to limit or terminate any user’s access if necessary to safeguard the Site against threats such as viruses or system failures.

Prohibited Activity

You agree not to engage in, or attempt to engage in, any of the following in connection with the Site:

• Infringing any copyright, trademark, patent, publicity, privacy, or other intellectual property or proprietary right.

• Market manipulation, money laundering, terrorist financing, or other illicit finance.
• Sanctions or embargo violations, including use for or on behalf of sanctioned persons or embargoed jurisdictions.
• Encouraging or inducing others to engage in any prohibited activity.
• Violating applicable law, including export control or data-export laws.
• Damaging our reputation or impairing our legal rights and interests.

Ownership of Materials

We own all intellectual property and other rights in the Site and any Content and its contents, including (but not limited to) software, text, images, logos, trademarks, service marks, trade dress, copyrights, patents, and designs. Unless expressly permitted in writing on the Site, you may not download, copy, redistribute, or create derivative works from any Content. Blockchain and Network Risk

The inherent risks associated with using cryptographic and blockchain-based systems (for example, design or implementation flaws, or cryptographic advances that may undermine the security framework of certain blockchain technologies). You represent and warrant that you have a working knowledge of virtual assets and token standards. We have no control over any blockchain network and cannot ensure that any transaction details you submit or receive via the Site will be confirmed on the relevant network. We do not have the ability to facilitate any cancellation or modification requests. Transactions may not be completed, or may be substantially delayed, and we take no responsibility for the failure of a transaction to be confirmed or processed as expected.

Protocol Risk

The protocols governing the operation of any blockchain network may be subject to sudden changes in operating rules that may materially alter the network, affect the value and function of a particular token, or otherwise render you unable to conduct or complete transactions using the Site. You acknowledge and accept the risk that any token may lose some or all of its value, and that we are not responsible for any variables or risks under any relevant smart contract.

Biological Asset Risk

You acknowledge that BRIC and BRICO reference underlying biological assets whose existence, integrity, viability, valuation, and lifecycle status depend on biological, laboratory, custodial, and operational factors outside your control and, in many respects, outside our control. Biological samples may degrade, be lost, be deemed non-conforming, fail quality or regulatory criteria, or otherwise become unavailable or impaired. Proof of Process, Proof of Quality, custody records, and related data are based on information provided by processing, storage, and laboratory partners and may contain errors or be subject to change. We do not guarantee the medical suitability, future utility, transferability, or value of any underlying biological asset, and you accept all risks associated with the biological nature of the assets referenced on the Site.

Regulatory Environment Risk

The application of existing legal and regulatory requirements to virtual assets, tokenized real-world assets, and biological materials is developing and evolving and varies significantly across jurisdictions. We may be required to make sudden changes to the Site or to the availability of the BABS framework that may impact your ability to use the Site. It may not be possible for you to subscribe for, store, transfer, or redeem any token when you wish to do so.

Cybersecurity Risk

We are not liable for any hacks or malicious attempts to obtain access to your wallet, or any loss or destruction of security credentials or authentication methods. You are responsible for keeping your password and keys safe, and you may be responsible for all transactions submitted with your credentials, whether you authorized them or not. Transactions in virtual assets may be irreversible, and losses due to fraudulent or unauthorized transactions may not be recoverable.

Liquidity and Market Risk

Tokens may have limited liquidity, which may make it difficult or impossible for you to sell or exit a position when you wish to do so. Virtual asset trading is subject to high market risk and price volatility; changes in value may be significant and may occur rapidly and without warning. The value of any holding and any returns can go down as well as up, and you may not get back the amount you invested. There is a risk of total loss.

Representations and Warranties

By accessing and using the Site or any Content, you represent and warrant that:

• You have the necessary technical expertise and ability to review and evaluate the security, integrity, and operation of your wallet;
• You have the knowledge, experience, understanding, professional advice, and/or information to make your own evaluation of the merits, risks, and applicable compliance requirements of any use of your wallet and the Site, and are not relying on us; and
• You accept the risks associated with virtual assets, blockchain technology, and tokenized biological assets generally.

Release of Claims

To the maximum extent permitted by law, you assume all risks arising from your access to and use of the Site and waive and release us from all liability, claims, and causes of action arising out of or in any way related to your use of the Site. Nothing in this release limits any non-waivable statutory rights or liability that cannot lawfully be excluded.

Warning Regarding Web Fraud and Phishing

Impostors or fraudsters may misuse our name, logo, or reputation by setting up fake websites or running “phishing” scams. Verify that you are on an official Bricopia website before sharing any personal or confidential details. We will never request passwords or login credentials via unauthorized channels.

Termination of Use

These Terms remain effective unless terminated by either you or us. You may terminate at any time by ceasing to use the Site. We may also, at our sole discretion, suspend, restrict, or immediately deny access to any or all parts of the Site for any reason, including a suspected or actual breach of these Terms, and we have the sole right to determine whether a violation has occurred. We may do so without notice. Upon termination, you must promptly delete any materials obtained from the Site and any copies thereof. Termination will not affect any rights or obligations that have accrued up to the date of termination. Provisions that by their nature should survive termination will survive, including without limitation: ownership and intellectual property rights, disclaimers and limitations of liability, indemnification, and dispute resolution (including governing law and arbitration).

Assignment

You may not assign, delegate, or transfer these Terms or any rights or obligations hereunder (whether by operation of law or otherwise) without our prior written consent, and any attempted assignment without consent is void. By using the Site, you agree to indemnify and hold harmless Bricopia, its affiliates, directors, officers, employees, agents, consultants, and contractors from and against all claims, damages, costs (including, without limitation, court costs, costs of settlement, and reasonable attorneys’ fees and expenses), obligations, and expenses arising from: (i) your access to and use of the Site; (ii) your negligence or willful misconduct; (iii) your violation of any term or condition of these Terms, the right of any third party, or any other applicable law, rule, or regulation; and (iv) any other party’s access to and use of the Site with your assistance or using any device or account that you own or control. You further agree that we shall have control of the defense or settlement of any such claims.

Effect on Other Agreements

Unless expressly stated, nothing herein modifies or supersedes any separate written agreement you may have with us. In the event of a conflict between these Terms and any such agreement, the latter will prevail.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of BVI , without regard to conflict of law principles. Subject to the Arbitration section below, any dispute or claim arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in BVI. If a provision is deemed unenforceable, it shall be reformed only to the extent necessary to make it enforceable.

Arbitration

We may, at our discretion, require you to submit disputes related to these Terms, including their interpretation or breach, to final and binding arbitration under applicable arbitration rules. Any such arbitration shall be seated in BVI, unless otherwise agreed, and the arbitral award shall be enforceable in any court of competent jurisdiction.

Miscellaneous

You are responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Site and any related services. We may, in our sole discretion, withhold, collect, file, or report any of the foregoing on your behalf or for ourselves as we deem necessary or advisable.

No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of such right or remedy, and no single or partial exercise shall preclude any other or further exercise. Any waiver must be in writing expressly labeled as a waiver and signed by us.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect. You acknowledge and agree that you are not an employee, agent, partner, or joint venturer of Bricopia, and you have no authority to bind Bricopia in any respect.
